Terms of Sale

These Terms of Sale apply to every purchase you make from Thriving Mind Marketing ("TMM," "we," "us," or "our"), whether through our website, a payment link we send you, an invoice, or a proposal you accept.
By completing a purchase you agree to these Terms of Sale, our Terms of Use, and our Privacy Policy.
Business Purchases Only
Everything we sell is sold to businesses and licensed professionals for use in their practice. Our products and services are commercial tools, not consumer goods, and you are purchasing in the course of operating a business.
You must be at least eighteen years of age and authorized to enter into agreements on behalf of the practice being invoiced.
Pricing, Currency, and Payment
All prices are stated and charged in United States dollars unless we state otherwise in writing.
Payments are processed by Stripe. We do not store your card details. By purchasing, you authorize us to charge the payment method you provide for the amount shown at checkout, plus any applicable taxes.
You are responsible for all taxes, duties, currency conversion costs, and bank or card fees associated with your purchase, other than taxes on our income.
Prices may change at any time. A price change does not affect an order already paid for, or a fixed fee already agreed in a signed proposal for work in progress.
If a payment fails, is declined, or is reversed, we may suspend or disable your access to the product, platform, service, or hosted website until the balance is cleared. We will make reasonable attempts to reach you first, since this is usually an expired card.
Invoices are due on the terms stated on the invoice. Overdue amounts may accrue interest at 1.5% per month (19.56% per year) from the due date, and we may suspend work, suspend hosting, or withhold deliverables until payment is received.
Digital Products and Downloadable Tools
This section covers our digital toolkits, guides, templates, prompt libraries, checklists, and other downloadable or hosted products.
What you get
Access is delivered by email or by account access, normally immediately after purchase. It is your responsibility to provide a working email address and to check spam and promotions folders.
Your licence
We grant you a limited, non-exclusive, non-transferable, revocable licence to use the product for the internal business purposes of a single practice.
You may use the product, its frameworks, prompts, and templates to produce marketing materials for your own practice, and those resulting materials are yours.
You may not:
- Share, forward, resell, sublicense, rent, or distribute the product or your access credentials
- Post the product or any substantial part of it in a group, forum, membership, drive, or community
- Use the product to deliver services to third parties as a marketing consultant, agency, coach, or reseller
- Remove our branding or present the product as your own
- Use the product or its contents to train, fine-tune, or ground any artificial intelligence system
We retain all ownership of the products themselves and of our underlying frameworks, methods, and systems.
Sharing is a breach of this licence and an infringement of our copyright. We may revoke access without refund and pursue any remedy available to us.
Refunds on digital products
Because digital products are delivered immediately and cannot be returned, all sales of digital products are final and non-refundable once access has been delivered.
If you were charged in error, charged twice, or never received access despite contacting us, email

Website Audits
The website audit is a fixed-scope, one-time review of a single website, delivered as a report with a prioritized action plan.
Delivery is normally the next business day. Delivery timing is an estimate, not a guarantee.
The audit is an opinion based on our professional judgment and the tools available to us at the time. It is not a guarantee that implementing our recommendations will produce any particular ranking, traffic level, or number of enquiries.
Refunds: you may cancel and receive a full refund by emailing us before we begin work. Once the audit has been produced, the sale is final and non-refundable.
The Therapy Website Blueprint and Other Platform Products
This section covers The Therapy Website Blueprint ("TWB") and any similar product that gives you access to a template, a build platform, a course, or an ongoing account.
What is included
What is included is described on the sales page at the time of purchase. Features, templates, course modules, and platform capabilities may be added, changed, or removed over time as the product develops and as underlying third-party platforms change.
Beta pricing
Products sold at a beta or founding-member price are sold on the understanding that the product is still in active development, that some components may not yet exist at the time of purchase, and that release timing for future components is an estimate rather than a commitment.
Beta pricing is a one-time discount tied to the purchase. It does not entitle you to future products, future versions, or any other discount.
Your licence
Access is granted to a single practice for use on that practice's own website. You may not resell access, build websites for third parties using the platform or templates, share your login, or distribute the templates, course materials, or supporting resources.
We retain ownership of all templates, course content, code, and platform components. You own the copy, images, and business information you supply and the finished site content you create.
Third-party accounts
Some products require accounts with third-party platforms, including website builders, hosting providers, and domain registrars. Those accounts are subject to the third party's own terms and pricing, which are your responsibility. We are not liable for their outages, policy changes, price increases, account suspensions, or discontinued features.
Refunds
All sales are final and non-refundable once access to the platform, templates, or course materials has been granted.
Services: Website Design, SEO, Google Ads, Branding, and Hosting
Service engagements are governed by a separate written proposal or services agreement. The terms in this section apply in addition, and apply in full where no separate agreement has been signed.
Scope, deposits, and scheduling
Website projects are quoted at a fixed price for a defined page count and scope, and are normally invoiced fifty percent to begin and fifty percent before launch. Your project is scheduled once the deposit is received.
The deposit is non-refundable. It reserves production capacity, and that capacity cannot be resold once committed.
Project timelines are estimates and depend on you supplying content, feedback, and approvals on time. Timelines pause when we are waiting on you. Extended delays on your side may require rescheduling into the next available production window.
Revisions and additional work
Revisions are included as described in your proposal. Work outside the agreed scope, including additional pages, additional services, redesigns after approval, or changes to previously approved deliverables, is quoted and invoiced separately.
Client responsibilities
You are responsible for the accuracy of everything you supply or approve, including your credentials, licence numbers, licensure jurisdictions, scope of practice, service descriptions, fees, insurance participation, testimonials, and clinical claims.
You are responsible for compliance with the rules of your licensing body and applicable health privacy law, and for confirming that published content meets those requirements before launch. Your approval of a page is your confirmation that its content is accurate and compliant.
Ownership and transfer
We retain ownership of our templates, frameworks, systems, processes, internal documentation, and any reusable components, and of all work product until we have been paid in full.
On receipt of full payment, you receive ownership of the final custom copy, custom graphics, and site content produced specifically for you, and a licence to use the underlying template and platform components for that site.
Third-party assets such as stock images, fonts, plugins, and platform features are licensed, not owned, and remain subject to their own licence terms.
Hosting
Hosting is billed annually in advance and renews automatically unless cancelled in writing before the renewal date. Hosting fees are non-refundable once a term has begun.
If hosting lapses or is not paid, your site may be taken offline. We will make reasonable attempts to reach you first. We are not responsible for lost traffic, lost enquiries, lost rankings, or lost revenue resulting from non-payment.
On cancellation we will provide a reasonable export of your site content on request. We are not obligated to retain your data indefinitely after an engagement ends.
Ongoing services and cancellation
Monthly SEO, advertising management, and similar recurring services renew each month until cancelled. Either party may cancel with thirty days' written notice. Fees already paid for the current period are non-refundable, and work in progress will be completed through the end of that period.
Advertising spend
Advertising budget paid to Google, Meta, or any other platform is separate from our management fee and is not included in it. Where you fund advertising through an account we manage, you remain responsible for the spend.
You own your advertising accounts and your ad data. Platform policies, ad disapprovals, account suspensions, and cost changes are set by the platform and are outside our control.
No Guarantee of Results
We do not guarantee any specific search ranking, traffic volume, number of enquiries, number of booked clients, conversion rate, revenue, or return on investment.
Marketing performance depends on factors outside our control, including search engine and platform algorithm changes, competitor activity, market conditions, seasonality, your fees, your availability, your response time to enquiries, your reviews, your licensure, and your own follow-up.
Case studies, testimonials, sample results, and past client outcomes describe specific businesses at specific times. They are illustrative, not a promise or projection of your results.
Chargebacks
If you have a billing concern, contact us first at jesse@thrivingmindmarketing.com. We respond to billing questions quickly.
Initiating a chargeback or payment dispute instead of contacting us is a breach of these terms. We may immediately suspend all access, products, services, and hosting, and we may recover the disputed amount, dispute fees, and reasonable collection costs.
Limitation of Liability
To the fullest extent permitted by law, our total aggregate liability for any claim arising out of or connected with a purchase is limited to the amount you paid us for the specific product or service giving rise to the claim in the twelve months preceding the claim.
We are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost enquiries, lost rankings, lost data, or lost business opportunity, even if advised of the possibility.
Suspension and Termination
We may suspend or terminate your access to any product, platform, or service, and may end an engagement, where you breach these terms, fail to pay, share access, initiate a chargeback, or behave abusively toward our team.
We may decline or discontinue work for any client at our discretion. Where we end an engagement without cause, we will refund any prepaid amounts for work not yet performed, excluding non-refundable deposits.
Governing Law
These Terms of Sale are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable in it. The courts of British Columbia have exclusive jurisdiction over any dispute.
Changes
We may revise these Terms of Sale at any time. The version in effect at the time of your purchase governs that purchase.
