Terms of Use

These Terms of Use govern your access to and use of thrivingmindmarketing.com and any subdomain, portal, application, or account system operated by Thriving Mind Marketing ("TMM," "we," "us," or "our"), together referred to as the "Site."


By accessing or using the Site in any way, whether manually or through automated means, you agree to these Terms of Use and to our Privacy Policy. If you do not agree, do not use the Site.


Purchases of products and services are additionally governed by our Terms of Sale. Client engagements for website design, SEO, advertising management, branding, and hosting are additionally governed by a separate written services agreement. Where documents conflict, the services agreement controls, then the Terms of Sale, then these Terms of Use.


Who May Use the Site

The Site is intended for licensed mental health professionals, practice owners, and other business users who are at least eighteen years of age and able to form a binding contract.


By using the Site you represent that you meet these requirements and that any information you give us is true, accurate, current, and complete.


Do Not Send Us Health Information

We are a marketing company. We are not a healthcare provider and we are not equipped to receive protected health information.


Do not submit patient names, patient records, session notes, intake documents containing patient details, or any other health information about an identifiable individual through the Site, our forms, our chat, or our email. If you do, you do so at your own risk and we will delete it when we become aware of it.


Our Intellectual Property

The Site and everything on it, including text, graphics, logos, images, video, page structures, layouts, frameworks, checklists, templates, prompts, code, and the selection and arrangement of all of it, is owned by TMM or its licensors and is protected by copyright, trademark, and other intellectual property laws.


"Thriving Mind Marketing," "The Therapy Website Blueprint," our logos, and our product names are our trademarks. You may not use them without our prior written permission.


You may view the Site and download or print individual pages for your own internal reference, provided you keep all copyright and proprietary notices intact. You may not otherwise copy, reproduce, republish, upload, post, transmit, adapt, translate, sell, license, create derivative works from, scrape, mine, or distribute any part of the Site.


You may not use the Site or its contents to train, fine-tune, or ground any machine learning model, large language model, or artificial intelligence system without our prior written permission. Automated collection of Site content, including scraping and systematic downloading, is prohibited.


You may link to the Site provided the link does not imply that we sponsor or endorse you. You may not frame the Site, inline link its content, or embed it in another service without our written permission.


Content You Submit

You keep ownership of the content you submit to us, including comments, testimonials, reviews, social media posts, images, and materials you provide for a project.


By submitting content to us, you grant TMM a worldwide, royalty-free, non-exclusive, transferable, sublicensable licence to host, store, reproduce, adapt, and display that content for the purpose of operating our business and providing our services to you. Where you submit a testimonial, review, or public comment, or where you approve a project for publication, that licence also allows us to display it in our portfolio, case studies, marketing materials, sales presentations, and social media, together with your name, practice name, and website address.


You represent that you own or have permission to submit the content you send us, that it does not infringe anyone's rights, and that any individual identifiable in a photograph you provide has consented to its use.


You can ask us to stop using a specific testimonial or portfolio item going forward by emailing
jesse@thrivingmindmarketing.com. We are not required to recall materials already printed, distributed, or published by third parties.


We are not obligated to publish, use, or retain anything you submit, and we may remove or stop displaying any submitted content at any time for any reason.


Accounts and Passwords

Some parts of the Site require an account. You are responsible for keeping your login credentials confidential and for all activity that occurs under your account, whether or not you authorized it.


Accounts are for a single practice. Do not share credentials with anyone outside your practice or allow anyone else to access purchased materials through your account.


Notify us immediately at
jesse@thrivingmindmarketing.com if you suspect unauthorized use of your account. We may suspend or terminate any account at any time, with or without notice, including where we believe credentials are being shared or the account is being used in breach of these terms.


Acceptable Use

You agree not to:

  • Use the Site for any unlawful purpose, or in a way that breaches any applicable law, regulation, or professional code of conduct
  • Impersonate any person or entity, or misrepresent your affiliation with one
  • Interfere with, disrupt, overload, or attempt to gain unauthorized access to the Site, our accounts, our systems, or any connected network
  • Introduce viruses, malware, or any other harmful code
  • Attempt to obtain materials or information not intentionally made available through the Site
  • Copy, resell, sublicense, or redistribute any material obtained from the Site
  • Use the Site to send unsolicited commercial messages, advertise, or solicit our users
  • Harvest email addresses, contact details, or other information about our users or clients
  • Post or transmit anything unlawful, defamatory, harassing, abusive, obscene, or infringing
  • Reverse engineer, decompile, or attempt to derive the source code or underlying structure of any part of the Site or our products

No Professional Advice

The content on the Site, including blog posts, guides, checklists, downloadable resources, videos, and any chat or automated assistant, is general marketing information for business owners. It is not legal, accounting, tax, clinical, regulatory, or professional advice, and it is not a substitute for advice from a qualified professional who knows your circumstances.


You remain solely responsible for the accuracy of your own professional credentials, licensure claims, scope of practice statements, fee disclosures, clinical claims, and compliance with the rules of your licensing body, your insurers, and applicable health privacy law, on your website and everywhere else.


No Guarantee of Results

Marketing outcomes depend on many factors outside our control, including search engine algorithms, advertising platform policies, competitor activity, market conditions, your fees, your availability, your response time to enquiries, your location, your licensure, and your own follow-up.


We do not guarantee any specific search ranking, volume of traffic, number of enquiries, number of booked clients, revenue, return on investment, or other result. Any figures, timelines, examples, case studies, testimonials, or past results shown on the Site describe outcomes for specific businesses at specific times and are not a promise, projection, or guarantee of what you will achieve.


Third-Party Platforms and Links

The Site links to and depends on services we do not control, including Duda, Google, Stripe, GoHighLevel, Meta, and others. We do not endorse third-party sites and we are not responsible for their content, products, policies, availability, pricing changes, or acts and omissions.


We are not responsible for interruptions, outages, data loss, feature removals, policy changes, account suspensions, or price increases caused by any third-party platform.


Disclaimers

The Site and all content, products, and services made available through it are provided on an "as is" and "as available" basis, without warranties of any kind, express or implied.


To the fullest extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Site will be uninterrupted, timely, secure, error-free, or free of viruses or other harmful components, or that any defect will be corrected. We make no representation about the accuracy, completeness, timeliness, or reliability of any content on the Site.


Limitation of Liability

To the fullest extent permitted by law:


TMM, its owners, employees, contractors, affiliates, and suppliers are not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business, opportunity, goodwill, data, or anticipated savings, arising out of or connected with your use of or inability to use the Site, whether based in contract, tort, negligence, strict liability, or otherwise, and even if we have been advised of the possibility of those damages.


Our total aggregate liability for all claims arising out of or connected with the Site or these Terms of Use is limited to the greater of the total amount you paid us in the twelve months immediately preceding the event giving rise to the claim, or one hundred Canadian dollars.


Some jurisdictions do not allow certain exclusions or limitations. Where that is the case, the exclusions and limitations above apply to the fullest extent permitted, and our liability is limited to the minimum permitted by law.


Indemnity

You agree to defend, indemnify, and hold harmless TMM, its owners, employees, contractors, and affiliates from and against any claim, demand, action, loss, liability, damage, cost, or expense, including reasonable legal fees, arising out of or connected with:

  • Your use of the Site
  • Your breach of these Terms of Use, our Terms of Sale, or any services agreement
  • Any content, credentials, claims, images, or materials you provide to us or approve for publication
  • Your violation of any law, regulation, professional standard, or the rights of any third party
  • Any complaint, investigation, or proceeding brought by a licensing body, regulator, patient, or client of yours relating to content you supplied or approved

Termination

We may suspend or terminate your access to the Site or any part of it at any time, with or without notice and without liability. On termination, your right to use the Site ends immediately.


Sections covering intellectual property, content you submit, disclaimers, limitation of liability, indemnity, and governing law survive termination.


Governing Law and Disputes

These Terms of Use are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable in it, without regard to conflict of law rules.


You agree that the courts of British Columbia have exclusive jurisdiction over any dispute arising out of or connected with these Terms of Use or the Site, and you consent to the jurisdiction and venue of those courts. Nothing prevents us from seeking injunctive relief in any court of competent jurisdiction to protect our intellectual property or confidential information.


Any claim must be brought within one year after the claim arose, or the claim is permanently barred, except where applicable law does not allow that limitation.


General

If any provision of these Terms of Use is found unlawful, void, or unenforceable, that provision is severed and the remaining provisions stay in full effect.


Our failure to enforce any provision is not a waiver of it. You may not assign these Terms of Use. We may assign them to an affiliate or in connection with a merger, acquisition, or sale of our business.


These Terms of Use, together with our Privacy Policy, our Terms of Sale, and any applicable services agreement, form the entire agreement between us regarding the Site.


Changes

We may revise these Terms of Use at any time by posting the revised version on this page and updating the "Last Updated" date. Your continued use of the Site after that date means you accept the changes.
